Unless otherwise required by law, title and risk of loss transfer to the purchaser when products are delivered to the carrier

22. Limitation of Liability

ARISING FROM OR RELATED TO THE SITE, PRODUCTS, OR SERVICES. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: 

(A) THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR 

(B) $100.00. 

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW. 

23. Indemnification 

You agree to defend, indemnify, and hold harmless Colorado Heart Rescue and its officers, directors, employees, agents, affiliates, and suppliers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from: 

  • Your violation of these Terms; 
  • Your misuse of the Site; 
  • Your misuse of products purchased through the Site; 
  • Your violation of applicable laws; 
  • Your infringement of third-party rights. 

24. Arbitration Agreement 

Except for claims qualifying for small claims court or claims involving intellectual property rights, all disputes arising out of or relating to these Terms shall be resolved through binding arbitration pursuant to the Federal Arbitration Act. 

Arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable rules. 

The arbitration shall be conducted by a single arbitrator. 

The arbitrator's decision shall be final and binding and may be entered in any court having jurisdiction. 

25. Class Action Waiver 

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY. 

YOU WAIVE ANY RIGHT TO PARTICIPATE IN: 

  • CLASS ACTIONS 
  • COLLECTIVE ACTIONS 
  • REPRESENTATIVE ACTIONS 
  • PRIVATE ATTORNEY GENERAL ACTIONS 

The arbitrator shall not have authority to consolidate claims or preside over any class proceeding. 

26. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. 

Subject to the arbitration provisions above, any court proceeding shall be brought exclusively in the state or federal courts located in Colorado. 

27. Force Majeure 

Colorado Heart Rescue shall not be liable for delays or failure to perform resulting from causes beyond our reasonable control, including: 

  • Natural disasters 
  • Severe weather 
  • Acts of God 
  • Cyberattacks 
  • Utility failures 
  • Labor disputes 
  • Government actions 
  • Supply chain disruptions 

28. Termination 

We reserve the right to suspend or terminate access to the Site at any time and without prior notice for any lawful reason. 

Provisions intended to survive termination shall remain in effect. 

29. Changes to These Terms 

We may revise these Terms at any time. 

Changes become effective upon posting to the Site unless otherwise stated. 

Continued use of the Site following publication of revised Terms constitutes acceptance of the changes. 

30. Severability 

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
